1. Definitions
- “Account” means your ReadThisAloud customer account associated with licensing, subscriptions, device activations, and service access.
- “Authorized User” means an individual permitted to use the Software under a valid license or purchased seat.
- “Business Plan” means a plan purchased by or for a company, organization, department, or other entity for multiple Authorized Users or centrally managed licensing.
- “Customer Content” means text, documents, files, and other information that you open, paste, upload, transmit, or otherwise provide for use with the Software or Services.
- “Generated Audio” means synthesized audio created through ReadThisAloud from Customer Content.
- “Services” means ReadThisAloud-hosted or third-party-enabled online services used by the Software, including licensing, secure downloads, usage validation, account functions, speech processing, and related functionality.
- “Software” means the ReadThisAloud Windows desktop application, updates, patches, components, and related licensed materials provided by ReadThisAloud.
2. Eligibility and Authority
You must be at least eighteen (18) years old, or the age of legal majority where you live, to enter into this EULA on your own behalf. If you accept this EULA on behalf of a company, school, government entity, or other organization, you represent that you have authority to bind that entity. In that case, “you” includes the entity and its Authorized Users.
3. License Grant
Subject to your payment of applicable fees, continued compliance with this EULA, and the terms of the applicable plan or order, ReadThisAloud grants you a limited, non-exclusive, non-transferable, non-sublicensable, revocable license to download, install, activate, and use the Software solely for lawful purposes and within the device, seat, usage, and other limits applicable to your plan.
The Software is licensed, not sold. No ownership interest in the Software is transferred to you. Rights not expressly granted are reserved by ReadThisAloud and its licensors.
4. Plans, Seats, Devices, and Usage Limits
Your right to use the Software may be limited by the plan you purchase, including the number of Authorized Users, activated devices, narration usage, billing period, or other plan-specific limits. The plan description displayed at purchase, your order confirmation, and your Account identify the applicable commercial limits.
A license assigned to one individual may not be shared among multiple unrelated individuals unless the applicable plan expressly permits it. Business Plan administrators may assign purchased seats to Authorized Users within their organization, subject to plan limits.
ReadThisAloud may require device activation, device reassignment, periodic license verification, or reauthentication to protect against unauthorized use and enforce purchased limits.
5. Accounts, Credentials, and Activation
You are responsible for maintaining accurate Account information and keeping Account credentials secure. You may not disclose passwords, activation credentials, license tokens, or access credentials to unauthorized persons. You must promptly notify ReadThisAloud if you reasonably believe your Account, license, or device activation has been compromised.
ReadThisAloud may suspend or reset credentials, tokens, sessions, or activations when reasonably necessary to protect the Software, Services, or customers.
6. Ownership and Intellectual Property
The Software, Services, website, user interface, source code, object code, designs, logos, trademarks, trade dress, documentation, and related intellectual property are owned by ReadThisAloud or its licensors and are protected by applicable intellectual-property laws.
“ReadThisAloud,” associated logos, and related branding may not be copied, imitated, or used without ReadThisAloud’s prior written permission except as expressly permitted by law.
7. Customer Content
As between you and ReadThisAloud, you retain your rights in Customer Content. ReadThisAloud does not obtain ownership of your documents merely because you use them with ReadThisAloud.
You grant ReadThisAloud and its service providers a limited, non-exclusive right to host, transmit, process, transform, and otherwise use Customer Content only as reasonably necessary to provide, secure, maintain, troubleshoot, and improve the Software and Services, subject to this EULA and the Privacy Policy.
You represent that you have all rights, permissions, and legal authority necessary to use Customer Content with the Software and to request speech synthesis or audio generation from that content.
Unless ReadThisAloud expressly agrees otherwise in a separate written agreement, do not use the Software to process information requiring specialized contractual or regulatory handling that ReadThisAloud has not agreed to provide, including payment-card security data, government-classified information, or regulated health information requiring a business associate agreement or equivalent specialized safeguards.
8. Cloud Speech Processing and Natural Voices
Certain narration features depend on internet connectivity and cloud-based speech-processing services. ReadThisAloud may transmit the text necessary for requested narration to ReadThisAloud-controlled infrastructure and third-party cloud providers, including Microsoft Azure Speech Services or successor providers, for synthesis.
Speech synthesis may be subject to usage limits, provider availability, network conditions, regional availability, voice availability, and provider changes. ReadThisAloud may add, remove, substitute, or modify available voices when reasonably necessary for technical, legal, licensing, security, quality, or commercial reasons.
Customers are not required to maintain their own Microsoft Azure account unless ReadThisAloud expressly offers a separate customer-managed configuration.
9. Generated Audio
Subject to this EULA, applicable law, third-party service terms, and your rights in the source Customer Content, ReadThisAloud does not claim ownership of Generated Audio solely because it was synthesized through ReadThisAloud.
You are responsible for determining whether you have sufficient rights to use, reproduce, distribute, publish, perform, monetize, or otherwise exploit Generated Audio. You may not use Generated Audio to deceptively impersonate another person, facilitate fraud, misrepresent human speech, violate privacy or publicity rights, infringe intellectual property, or engage in unlawful or harmful conduct.
Export-to-WAV functionality does not grant rights in copyrighted, confidential, licensed, or otherwise protected source material that you did not already possess.
10. Permitted Use
You may use the Software to:
- open and read supported documents and text that you are legally entitled to use;
- generate narration for lawful personal, educational, professional, or internal business purposes;
- use synchronized highlighting, navigation, bookmarks, playback controls, Reading Mode, and other licensed features;
- export Generated Audio when permitted by your plan and when you have the legal right to do so; and
- make reasonable backup copies where technically allowed and lawful.
11. Prohibited Use
You may not, directly or indirectly:
- copy, distribute, rent, lease, lend, sell, sublicense, publish, host, or commercially redistribute the Software except as expressly authorized by ReadThisAloud;
- share, resell, pool, or circumvent licenses, seats, device activations, usage limits, or Account restrictions;
- reverse engineer, decompile, disassemble, decode, derive source code from, or otherwise attempt to discover the internal structure of the Software except to the limited extent such restriction is prohibited by law;
- modify, adapt, translate, create derivative works of, or remove proprietary notices from the Software except where expressly permitted;
- bypass or interfere with authentication, licensing, metering, security controls, usage reporting, service limits, or technical restrictions;
- use automated means to scrape, overload, probe, test, attack, or disrupt the Software or Services;
- use the Software to transmit malware, malicious code, unlawful content, or content for which you lack necessary rights;
- use the Software or Generated Audio for fraud, deceptive impersonation, harassment, threats, unlawful discrimination, exploitation, or illegal activity;
- use the Software as a safety-critical, emergency, medical-diagnostic, aviation, life-support, or other system where a speech error, outage, delay, or mispronunciation could reasonably cause death, personal injury, or substantial property damage; or
- use the Software to provide a competing hosted text-to-speech, voice resale, or service-bureau offering without ReadThisAloud’s prior written authorization.
12. Purchases, Subscriptions, Automatic Renewal, and Stripe
Paid licenses and subscriptions may be offered on monthly, annual, per-user, usage-based, or other billing terms shown at checkout. The price, billing frequency, included usage, renewal terms, and any trial terms presented at checkout form part of your purchase.
Payment processing is provided by Stripe. By submitting a payment method, you authorize ReadThisAloud and Stripe to charge the applicable fees, taxes, renewals, and other amounts that you authorize. Stripe’s handling of payment information is governed by Stripe’s applicable legal and privacy terms.
If you enroll in an automatically renewing subscription, it will renew for the stated renewal period until canceled, unless otherwise disclosed at purchase. ReadThisAloud will provide renewal, cancellation, and billing disclosures required by applicable law. You may cancel using the method made available in your Account or another cancellation method ReadThisAloud provides. Unless otherwise required by law or stated at checkout, cancellation stops future renewals and takes effect at the end of the then-current paid billing period.
If a payment is declined, reversed, disputed, expired, or otherwise not successfully completed, ReadThisAloud may suspend paid features, renewal, service access, or license activation after providing any notice required by law.
Refund eligibility is governed by the Refund Policy, the specific terms displayed at purchase, and applicable law. Nothing in this EULA waives any non-waivable rights under payment-network rules or consumer-protection law.
13. Trials, Promotional Offers, and Taxes
ReadThisAloud may offer free trials, discounted introductory periods, promotional credits, or other offers. Eligibility, duration, included usage, conversion to paid service, and expiration rules will be disclosed with the offer. If a trial automatically converts to a paid subscription, that fact and the applicable renewal price will be disclosed before enrollment and charged only as authorized by you and applicable law.
Prices may exclude sales, use, transaction privilege, value-added, withholding, or similar taxes unless stated otherwise. You are responsible for taxes associated with your purchase except taxes imposed on ReadThisAloud’s net income. ReadThisAloud or its payment processor may collect taxes where legally required.
14. Updates, Upgrades, and Changes to the Software
ReadThisAloud may provide patches, fixes, upgrades, feature changes, security updates, or new versions. Certain updates may be required for continued compatibility, security, licensing, or access to cloud Services. An update may modify or discontinue a feature where reasonably necessary.
Unless ReadThisAloud expressly states otherwise, updates remain subject to this EULA or a successor license agreement presented with the update.
15. Support, Maintenance, and Availability
Support is provided according to the support level included with your plan. ReadThisAloud does not guarantee that support will resolve every issue or that every document, voice, device, Windows configuration, or third-party environment will be compatible.
The Software or Services may occasionally be unavailable because of maintenance, security events, internet or utility failures, third-party provider interruptions, force majeure events, or other circumstances outside ReadThisAloud’s reasonable control. Unless a separate written service-level agreement applies, no specific uptime level is guaranteed.
16. Privacy, Data Processing, and Security
ReadThisAloud’s collection and use of personal information is described in the Privacy Policy, which governs data-processing matters. Depending on the features you use, ReadThisAloud may process Account information, license and device identifiers, software version information, usage totals, diagnostics, support information, transaction-related information, and text necessary to provide requested narration.
ReadThisAloud uses administrative, technical, and organizational safeguards appropriate to the nature of the Services, but no software, network, transmission, or storage system can be guaranteed completely secure.
You may not attempt to obtain ReadThisAloud infrastructure credentials, Microsoft Azure credentials, service tokens, private API keys, internal endpoints, or other protected credentials. The production Software is intended to communicate with ReadThisAloud-controlled services rather than expose cloud-service credentials to end users.
17. Third-Party Services and Components
The Software may interoperate with third-party software, networks, platforms, codecs, libraries, payment services, cloud infrastructure, or speech-processing services, including services provided by Microsoft and Stripe. Third-party services are governed by their own terms and privacy practices.
ReadThisAloud is not responsible for a third party’s independent products, outages, changes, acts, omissions, or terms. References to third parties do not imply sponsorship, endorsement, or affiliation unless expressly stated.
The Software may include open-source or third-party components licensed under separate terms. To the extent a third-party license expressly grants rights that conflict with this EULA, that license controls solely for that component. Required notices or attributions, if any, will be provided with the Software, Documentation, or a third-party notices file.
18. Feedback and Beta Features
If you voluntarily provide ideas, suggestions, feature requests, or other feedback, you grant ReadThisAloud a worldwide, perpetual, irrevocable, royalty-free, transferable, and sublicensable right to use and incorporate that feedback without restriction or compensation, provided this does not transfer ownership of Customer Content you did not intentionally submit as feedback.
ReadThisAloud may identify features as beta, preview, test, early access, or experimental. Those features may contain additional errors, change without notice, have limited support, or be discontinued. You use them at your own risk and should not rely on them for production-critical workflows unless ReadThisAloud agrees otherwise in writing.
19. Export Controls, Sanctions, and Government Users
You must comply with applicable U.S. and international export-control, import-control, trade-sanctions, and embargo laws. You represent that you are not prohibited from receiving the Software or Services and will not use, export, re-export, transfer, or provide the Software in violation of applicable restrictions.
To the extent the Software is acquired by or on behalf of the United States Government, the Software and Documentation are commercial computer software and commercial computer software documentation and are licensed only with the rights provided under this EULA and applicable procurement law.
20. Term, Suspension, and Termination
This EULA begins when you first validly accept it and continues until terminated. Subscription-based license rights also depend on the applicable subscription remaining active and in good standing.
You may terminate this EULA by discontinuing use, canceling applicable subscriptions, and uninstalling all copies under your control.
ReadThisAloud may suspend or terminate your license or access if you materially breach this EULA, fail to pay amounts when due, engage in fraud or unlawful activity, compromise security, abuse the Services, or use the Software in a manner creating material legal or operational risk. Where reasonable and legally required, ReadThisAloud will provide notice and an opportunity to cure before termination.
Upon termination or expiration, you must stop using the Software and, if required by the license model, uninstall or deactivate it. ReadThisAloud may disable license tokens, device activations, downloads, and subscription-based access. Provisions that by their nature should survive termination will survive.
21. Disclaimer of Warranties
TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, THE SOFTWARE, SERVICES, DOCUMENTATION, VOICES, GENERATED AUDIO, AND RELATED MATERIALS ARE PROVIDED “AS IS” AND “AS AVAILABLE,” WITH ALL FAULTS AND WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED, STATUTORY, OR OTHERWISE.
ReadThisAloud DISCLAIMS, TO THE MAXIMUM EXTENT PERMITTED BY LAW, IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, NON-INFRINGEMENT, QUIET ENJOYMENT, ACCURACY, AND WARRANTIES ARISING FROM COURSE OF DEALING OR USAGE OF TRADE.
ReadThisAloud does not warrant that the Software will be uninterrupted, error-free, completely secure, compatible with every file, accurately pronounce every word, acronym, name, abbreviation, technical term, or language, or produce audio suitable for every purpose. Speech synthesis can contain pronunciation, timing, emphasis, interpretation, or other errors.
You are responsible for reviewing important source material and Generated Audio before relying on it. ReadThisAloud is a reading and narration tool and does not provide legal, medical, financial, educational, safety, or other professional advice.
Some jurisdictions do not allow certain warranty exclusions. In those jurisdictions, these exclusions apply only to the extent permitted by law, and you retain non-waivable statutory rights.
22. Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, ReadThisAloud AND ITS OWNERS, OFFICERS, EMPLOYEES, CONTRACTORS, AFFILIATES, LICENSORS, AND SERVICE PROVIDERS WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, EXEMPLARY, CONSEQUENTIAL, OR PUNITIVE DAMAGES; LOSS OF PROFITS, REVENUE, BUSINESS, GOODWILL, OR ANTICIPATED SAVINGS; LOSS, CORRUPTION, OR UNAVAILABILITY OF DATA OR CONTENT; COST OF SUBSTITUTE SERVICES; OR BUSINESS INTERRUPTION, ARISING OUT OF OR RELATED TO THE SOFTWARE, SERVICES, GENERATED AUDIO, OR THIS EULA, EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.
TO THE MAXIMUM EXTENT PERMITTED BY LAW, ReadThisAloud’S TOTAL AGGREGATE LIABILITY ARISING OUT OF OR RELATING TO THE SOFTWARE, SERVICES, OR THIS EULA WILL NOT EXCEED THE GREATER OF (A) THE AMOUNT YOU PAID TO ReadThisAloud FOR THE APPLICABLE SOFTWARE OR SERVICES DURING THE TWELVE (12) MONTHS IMMEDIATELY PRECEDING THE EVENT GIVING RISE TO THE CLAIM OR (B) ONE HUNDRED U.S. DOLLARS (US $100).
These limitations apply regardless of the legal theory asserted but do not limit liability to the extent a limitation is prohibited by applicable law. Nothing in this EULA excludes liability that cannot lawfully be excluded.
23. Indemnification by Business and Organizational Users
If you use the Software on behalf of a business or organization, then to the maximum extent permitted by law, that entity will defend, indemnify, and hold harmless ReadThisAloud and its owners, officers, employees, contractors, affiliates, and licensors from third-party claims, damages, liabilities, judgments, penalties, costs, and reasonable attorneys’ fees arising from: (a) the entity’s Customer Content; (b) unlawful or unauthorized use by the entity or its Authorized Users; (c) infringement or violation of third-party rights by content submitted by the entity; or (d) the entity’s material breach of this EULA.
This Section does not apply to individual consumers to the extent such an indemnity would be prohibited or unenforceable under applicable consumer law.
24. Governing Law, Venue, and Equitable Relief
This EULA and any dispute arising out of or relating to it, the Software, or the Services will be governed by the laws of the State of Arizona, without regard to conflict-of-law rules, except to the extent federal law controls.
Subject to any non-waivable consumer rights or jurisdictional protections, you and ReadThisAloud agree that exclusive jurisdiction and venue for disputes will lie in the state courts located in Maricopa County, Arizona, or the United States District Court for the District of Arizona, as applicable.
If you are a consumer residing in a jurisdiction whose law gives you mandatory rights to bring a claim elsewhere or receive local-law protections, this Section does not waive those non-waivable rights.
Unauthorized copying, distribution, reverse engineering, credential theft, circumvention of license controls, or misuse of ReadThisAloud intellectual property may cause harm for which monetary damages are inadequate. ReadThisAloud may seek injunctive or other equitable relief in a court of competent jurisdiction in addition to other lawful remedies.
25. Changes to this EULA and Electronic Acceptance
ReadThisAloud may update this EULA to reflect changes in the Software, Services, law, security requirements, payment practices, third-party services, or business operations. The revised agreement will identify its effective date. Material changes will be presented or communicated in a reasonably conspicuous manner, and where applicable law requires affirmative consent, ReadThisAloud will request it.
You consent to receive agreements, disclosures, notices, receipts, renewal notices, transaction information, and other communications electronically where permitted by law. You may retain or print this EULA.
Your electronic acceptance is intended to have the same legal effect as a handwritten signature. ReadThisAloud may retain records of the EULA version accepted, date and time of acceptance, Account identifier, device or session information, and other records reasonably necessary to evidence assent and administer the License.
26. General Contract Terms
26.1 Entire Agreement and Order of Precedence
This EULA, together with applicable order or plan terms and documents expressly incorporated by reference, constitutes the agreement governing the Software license. The Terms of Service may separately govern the website, Account, subscriptions, and Services; the Privacy Policy governs data-processing matters; and the Refund Policy governs stated refund eligibility. If these documents conflict regarding the scope of the desktop Software license, this EULA controls unless a signed written agreement expressly states otherwise.
26.2 Assignment
You may not assign or transfer this EULA or your License without ReadThisAloud’s prior written consent, except where law prohibits such a restriction. ReadThisAloud may assign this EULA in connection with a merger, acquisition, reorganization, sale of assets, financing, or transfer of the ReadThisAloud business.
26.3 Severability
If a court finds a provision invalid or unenforceable, that provision will be enforced to the maximum extent permitted or modified to best achieve its lawful purpose, and the remaining provisions remain in effect.
26.4 Waiver
A failure or delay to enforce a provision is not a waiver. A waiver is effective only if made in writing by the party granting it.
26.5 Force Majeure
ReadThisAloud is not liable for delay or failure caused by events beyond its reasonable control, including natural disasters, internet or utility failures, labor disruptions, governmental actions, cyberattacks, provider outages, war, terrorism, civil unrest, epidemics, or failures of third-party infrastructure, except where liability cannot lawfully be excluded.
26.6 No Third-Party Beneficiaries; Headings; Language
Except where expressly stated otherwise, this EULA creates no enforceable rights for third parties. Headings are for convenience only. The controlling language is English; translations are provided for convenience unless applicable law requires otherwise.
